These Terms of Service (“Terms”) set forth the terms and conditions governing the use of the online store and website operated by Middle Flat Lab Co., Ltd. (“we,” “us,” or “our”) (collectively, the “Store”), as well as the purchase of products and services through the Store.

By using the Store or placing an order, you are deemed to have agreed to these Terms.

Article 1. Scope of Application

These Terms apply to the relationship between you and us in connection with browsing the Store, account registration, quotation requests, product orders, payment, delivery, returns, exchanges, support, and all other use of the Store.

The Information Required Under the Act on Specified Commercial Transactions, Return and Refund Policy, Privacy Policy, Shipping Policy, Prepaid Data SIM Terms of Use, terms stated on product pages, and any other rules separately established by us form part of these Terms.

If these Terms conflict with the terms stated on a product page, quotation, purchase order, individual agreement, or other terms separately agreed between you and us, the separately agreed terms will prevail.

For purchases made through Amazon or other external sales platforms, the terms and policies displayed on the relevant platform will apply.

Article 2. Use of the Store

You must use the Store in accordance with applicable laws, these Terms, and the conditions displayed on the Store.

If you are a minor, you must obtain the consent of your legal representative before using the Store or purchasing products.

If you use the Store on behalf of a corporation or organization, you represent that you have the proper authority to conduct transactions on behalf of that corporation or organization.

Certain products, prices, or transaction terms on the Store may be available only to corporations, organizations, dealers, or other businesses approved by us.

Article 3. Accounts

When registering an account or applying for a transaction, you must provide accurate and current information.

If your registered information changes, you must promptly update it.

You are responsible for appropriately managing your account, password, authentication codes, and other authentication information, and must not allow any third party to use them.

Unless we have acted intentionally or with gross negligence, actions taken through your account will be treated as actions taken by you, the account holder.

We may suspend account use or cancel registration if registered information is false, unauthorized use is suspected, these Terms are violated, or we reasonably determine that such action is necessary.

Deletion of an account does not extinguish payment obligations or other obligations relating to transactions already concluded.

Article 4. Product Information and Selling Prices

Product specifications, performance, compatible devices, included accessories, selling prices, consumption tax, shipping charges, warranty terms, and other conditions are displayed on the relevant product page, quotation, or purchase order.

We endeavor to display product information accurately. However, due to screen-display settings, photography conditions, production timing, product improvements, or other circumstances, the color, appearance, packaging, or minor specifications of a product may differ from the information displayed.

Unless otherwise stated, product prices are displayed inclusive of Japanese consumption tax. For quotations and similar documents for business customers, prices excluding tax and the consumption tax amount may be stated separately.

Inventory displays do not guarantee real-time availability. If a product is found to be out of stock after an order is placed, we may contact you and cancel all or part of the order.

If there is an obvious error in the displayed price or product information, we may cancel the order, even after a contract has been concluded, after explaining the circumstances to you. If we have already received payment, we will issue a refund.

Article 5. Orders and Formation of Sales Contracts

When you complete the order-confirmation process, you submit an offer to purchase the product from us.

An automatically generated email acknowledging receipt of an order is only a notice that we have received the offer and does not constitute our acceptance of the order.

A sales contract is formed at the earlier of: (i) the time we send a notice accepting the order; or (ii) the time we ship the product.

We may decline to accept an order or cancel an order already accepted in any of the following cases:

  • The order details or registered information are false, inaccurate, incomplete, or otherwise deficient.

  • We are unable to secure inventory for the product.

  • Payment cannot be completed.

  • Fraudulent orders, violations of resale conditions, or other inappropriate transactions are suspected.

  • Sale is prohibited due to laws, import/export regulations, telecommunications regulations, or other reasons.

  • You have previously violated these Terms or failed to make payment.

  • We reasonably determine that it is otherwise inappropriate to accept the order.

Order cancellations by you are subject to our Return and Refund Policy and any individual transaction terms.

Article 6. Payment

You must pay the product price, consumption tax, shipping charges, and any other applicable fees using the method displayed on the product page, checkout page, quotation, or purchase order.

Available payment methods include credit card, bank transfer, and any other methods displayed during checkout or in related documents.

Credit-card payments are processed when the order is placed or at the time determined by the payment provider.

For bank-transfer payments, you must make payment by the due date stated on the invoice or similar document. Bank transfer fees are your responsibility.

If payment is not confirmed by the due date, we may cancel the order and suspend shipment of the product or provision of the service.

Except where attributable to us, we are not responsible for screening, usage restrictions, payment refusals, or other actions taken by payment providers.

Article 7. Shipping and Delivery

Shipping times, delivery methods, and shipping charges are displayed on the product page, checkout page, quotation, or purchase order.

Unless otherwise stated, in-stock products will generally be shipped within five business days after we confirm the order or payment.

For made-to-order products, custom-specification products, pre-order products, large-volume orders, and special-order products, the individually displayed or notified lead time will apply.

Shipment or delivery may be delayed due to weather, natural disasters, traffic conditions, circumstances involving the carrier, manufacturing delays, import procedures, or other circumstances beyond our reasonable control.

If reshipment becomes necessary because you entered an incorrect delivery address, refused delivery, failed to receive the product within the carrier’s holding period, or for any other reason attributable to you, we may charge you for reshipment and other actual costs incurred.

Title to the product transfers to you once payment of the product price and all other applicable charges has been completed. The risk of loss of or damage to the product transfers when the product is delivered to you or your designated recipient.

Article 8. Returns, Exchanges, and Refunds

Our Return and Refund Policy applies to returns, exchanges, refunds, and order cancellations.

If a product is not defective, we generally do not accept returns or exchanges due to customer preference.

If a product has an initial defect, is damaged during delivery, was shipped incorrectly, or has another issue attributable to us, please contact us within seven days after receiving the product.

For failures that arise or are discovered more than seven days after receiving the product, we will respond in accordance with the warranty terms applicable to that product.

Nothing in this Article limits rights granted to you under applicable law.

Article 9. Product Warranty

The warranty period and warranty coverage for each product are stated on the product page, in the warranty policy, user manual, or information included with the product.

Unless otherwise approved by us, the following failures or damage are not covered by the warranty:

  • Use contrary to the user manual

  • Disassembly, modification, or improper repair by you or a third party

  • Dropping, impact, water damage, abnormal power connections, or other improper handling

  • Use of incompatible SIM cards, power sources, peripheral devices, or communication environments

  • Fire, earthquake, lightning, wind or flood damage, or other force majeure events

  • Wear and tear or deterioration caused by normal use

Depending on the condition of the product, we may provide repair, replacement, replacement parts, or a refund as a warranty remedy.

Article 10. Prepaid SIM Cards

Compatible devices, supported networks, data allowances, service periods, activation deadlines, communication speeds, speed restrictions, and other conditions for prepaid SIM cards are stated on the product page and in the Prepaid Data SIM Terms of Use.

Unless otherwise stated on the product page, prepaid SIM cards are for data communications only and cannot be used for voice calls or SMS.

Communication services are provided using the facilities and services of affiliated telecommunications carriers and other providers. We are responsible for selling the SIM cards and operating our designated customer-support contact point.

Even within a service area, communications may be unavailable or communication speeds may decrease due to terrain, buildings, weather, signal conditions, communications equipment, network congestion, device conditions, installation location, or other circumstances.

We do not guarantee the availability, speed, or continuity of communications at all locations, times, with all devices, or in all usage environments.

We cannot accept returns, exchanges, or refunds due to customer preference after the package has been opened, use has begun, the activation deadline has passed, data has been consumed, or the service period has ended.

For prepaid SIM cards, the Prepaid Data SIM Terms of Use take precedence in the event of any inconsistency.

Article 11. Use of Cellular Cameras and Other Products

You must use cellular cameras, trail cameras, solar-powered cameras, GPS functions, and other products in compliance with applicable laws, ordinances, user manuals, and third-party rights.

When installing a camera, you must obtain permission from the owner, administrator, or other person with the necessary authority over the land or building.

You must not improperly record or monitor another person’s residence, private life, or other place where privacy may reasonably be expected.

You are responsible for appropriately managing audio, video, location information, and any other information obtained through the products.

Because certifications, including technical-conformity certification, may be affected, you must not modify or replace wireless communication modules, antennas, or other wireless equipment in a manner not approved by us.

Our products do not guarantee the complete prevention or detection of crimes, accidents, wildlife damage, or other events.

You must not use a product as the sole means of directly protecting life, physical safety, or important property.

Article 12. Prohibited Conduct

When using the Store, you must not engage in any of the following:

  • Conduct that violates applicable laws, public order and morals, or these Terms

  • Registering or transmitting false information

  • Impersonating another person

  • Unauthorized payments, fraud, or other improper transactions

  • Infringing intellectual-property rights, privacy, reputation, or other rights of us or third parties

  • Imposing an excessive burden on the Store, servers, or networks

  • Unauthorized access, transmission of malware, or circumvention or interference with security features

  • Improperly acquiring information from the Store using automated means

  • Analyzing, copying, modifying, or reverse engineering the Store or its systems

  • Violating separately specified sales territories, resale conditions, or transaction terms

  • Any other conduct that we reasonably determine to be inappropriate

Article 13. Intellectual Property Rights

All intellectual-property rights in text, images, videos, logos, trademarks, designs, manuals, software, data, and other content displayed on the Store belong to us or the rightful owner.

You must not reproduce, republish, modify, distribute, sell, or publicly transmit any content without our prior permission, except to the extent necessary for personal use or transactions with us.

The terms governing the use of product images and descriptions by dealers or other businesses authorized by us to resell products are subject to individual agreements or our instructions.

Article 14. Information Provided by Customers

If you provide us with reviews, opinions, photographs, videos, suggestions, or other information, you represent that you have the rights necessary to provide that information.

We will use photographs, videos, reviews, case studies, and similar materials provided by you for product introductions, our website, social-media channels, or other promotional activities only with your consent.

We handle personal information in accordance with our Privacy Policy.

Article 15. External Services

The Store is provided through the Shopify platform; however, we are the seller of the products and the party to the sales contract with you.

We may use external services for payment, shipping, analytics, authentication, and other purposes.

Use of external services may be subject to the terms and privacy policies of the respective service providers.

If part of the Store becomes unavailable due to an interruption, modification, or discontinuation of an external service, we will respond to the extent attributable to us.

Article 16. Changes, Suspension, or Termination of the Store

We may modify, suspend, or terminate all or part of the Store in any of the following circumstances:

  • System maintenance, inspection, repair, or updates

  • A failure in communications networks, payment systems, shipping systems, or other external services

  • Fire, power outage, disaster, infectious disease, war, civil unrest, or other force majeure events

  • Compliance with an order from a law, administrative authority, or court

  • Other circumstances reasonably necessary for operation of the Store

Where possible, we will provide prior notice by posting on the Store, email, or another appropriate method.

Article 17. Our Liability

We endeavor to provide accurate information about our products and the Store and to operate the Store safely.

If you suffer damage due to a cause attributable to us, we will be liable in accordance with applicable law.

To the extent permitted by law, our liability for damages is limited to ordinary and direct damages actually incurred, and the maximum amount of our liability is the amount you paid to us for the transaction that gave rise to the damage.

The limitation in the preceding paragraph does not apply in the event of our intentional misconduct or gross negligence, liability for death or personal injury, or any other case where limitation of liability is not permitted under applicable law.

Except where attributable to us, we are not liable for damage arising from your usage environment, communication environment, settings, actions of third parties, or other circumstances beyond our reasonable control.

Nothing in this Article limits rights granted to you under mandatory laws, including the Consumer Contract Act of Japan.

Article 18. Your Liability

If you violate these Terms or intentionally or negligently cause damage to us or a third party, you are responsible for compensating that damage.

Article 19. Personal Information

We handle your personal information in accordance with our Privacy Policy.

Article 20. Changes to These Terms

We may amend these Terms in accordance with the Civil Code of Japan and other applicable laws when there are reasonable grounds, including changes in laws, changes to our services, or business needs.

When we amend these Terms, we will notify you of the changes and effective date by posting on the Store, email, or another appropriate method.

The amended Terms apply from the displayed effective date.

Unless separately agreed, transactions already concluded remain subject to the Terms in effect when the relevant transaction was concluded.

Article 21. Notices

We may provide notices to you by posting on the Store, sending email to your registered email address, or by another method we consider appropriate.

If you fail to receive a notice because you did not update your registered information, we may treat the notice as having been received at the time it would ordinarily have arrived.

Article 22. Severability

If any provision of these Terms is held invalid or unenforceable under applicable law, the remaining provisions remain in full force and effect.

Article 23. Governing Law and Jurisdiction

These Terms and transactions relating to the Store are governed by the laws of Japan.

If you use the Store as a corporation, organization, or business, the Osaka District Court has exclusive jurisdiction as the court of first instance for disputes arising out of or relating to these Terms or the Store.

If you are a consumer, jurisdiction will be determined in accordance with the Code of Civil Procedure of Japan and other applicable laws.

You and we will endeavor to resolve any dispute through good-faith discussion.
